  1. Notwithstanding any deviating or conflicting clause stated on the buyer's order forms, letterhead, etc., only these general terms of sale apply to purchase agreements concluded with DE ROY VLEES bvba.
  2. All goods travel at the buyer's risk, even when delivery is made free of charge.
  3. Given the nature of the food products sold, any complaint regarding the nature and quality of the goods covered by the contract must, on penalty of forfeiture, be notified to DE ROY VLEES bvba by registered letter within 48 hours of receipt of the delivery.
  4. Unless otherwise stated on the front of the invoice, invoices are payable within 30 days of the invoice date in Sint-Katelijne-Waver.
  5. Any invoice not paid within three days after the due date, as specified in article 4, shall automatically and without prior notice of default bear interest at 12% from the due date.

    Furthermore, any invoice not paid within three days after the due date, as specified in article 4, shall automatically be increased by a flat-rate compensation of 15% per month, with a minimum of € 38 per invoice.
  6. Acceptance of a cheque or bill of exchange does not imply novation of debt nor a waiver of these general terms.
  7. In the event of a dispute, only the courts of the judicial district of Mechelen and the justice of the peace of the canton where the registered office of DE ROY VLEES bvba is located shall have jurisdiction.

    Only Belgian law applies.
